Payment and Refund Policy

Space is not reserved until full payment clears. Vendor is responsible for taxes, permits, licenses, travel, lodging, labor, equipment, insurance and operating costs.

Vendor Legal Agreement — Clauses 1–8

1. Application and Acceptance.

This application is an offer to participate and is accepted when Budstock Music Festival (Organizer) issues written acceptance. Organizer coordinates the vendor mix, space assignments and approved activities so the marketplace works well for vendors and guests.

2. Fees and Reservation.

Vendor space is not reserved until full payment clears. Vendor is responsible for all taxes, permits, licenses, travel, lodging, labor, equipment, insurance and operating costs. Unauthorized sharing, resale or subletting of space is prohibited.

3. Approved Activity.

Vendor may display, promote, sell or perform the products, services and activities disclosed in the application and approved for its booth. Vendor will work with Organizer if a product, display or activity needs adjustment to fit the venue or shared marketplace.

4. Legal and Regulatory Compliance.

Vendor is solely responsible for abiding by all applicable federal, state and local laws, professional rules, health and fire requirements, tax obligations, licenses, permits and venue policies related to its products, services, employees and operations. Organizer approval does not replace any approval required for Vendor’s business.

5. Tattoo, Piercing and Food.

Live tattooing, piercing, food preparation, food sales or sampling requires the applicable practitioner, establishment, health, business, vending and fire approvals plus advance Organizer and venue coordination. Vendor shall maintain sanitation, infection-control, temperature-control and waste procedures appropriate to its operations.

6. Operations and Safety.

Vendor will follow the load-in window, festival hours and load-out directions emailed by Budstock approximately one week before the event; remain inside the assigned footprint; keep aisles and exits clear; maintain responsible staff; secure displays; and work promptly with Organizer and venue staff to resolve any operational or safety concern.

7. Vendor Insurance.

Vendor should maintain its own insurance appropriate to its business, products, services, employees, vehicles, equipment and activities. Organizer, OTM Entertainment and the host venue do not provide insurance coverage for Vendor or Vendor’s property or operations.

8. Independent Vendor.

All vendors participate as independent businesses, separate from Budstock Music Festival, OTM Entertainment and the host venue. Vendor is not an employee, agent, partner, joint venturer, franchisee or representative of any of them, has no authority to bind them, and is solely responsible for its workers and business obligations.

Vendor Legal Agreement — Clauses 9–17

9. Vendor Responsibility.

Vendor accepts responsibility for its own products, services, workers, cash, inventory, equipment, vehicles, customer interactions and use of the premises. Vendor is responsible for safeguarding its property and for the ordinary business risks of participating in a live festival marketplace.

10. Hold Harmless and Indemnification.

To the fullest extent permitted by law, Vendor agrees to defend, indemnify and hold harmless OTM Entertainment, its owners, Budstock Music Festival, the host venue, its owners and employees, and their respective agents and contractors from any and all violations, claims, fines, losses, liabilities, costs, damages, property damage or personal injury caused by or arising from Vendor, Vendor’s employees or contractors, Vendor’s products or services, Vendor’s legal or permit violations, or Vendor’s use of the premises, except to the extent caused by the protected party’s gross negligence or willful misconduct.

11. Damage and Cleanup.

Vendor is responsible for damage, extraordinary cleaning, waste, unauthorized utility use and code violations caused by Vendor or its personnel. Vendor will leave its space clean and will reimburse documented costs for damage or extraordinary cleanup it causes.

12. Professional Conduct.

Vendor and its staff will maintain a respectful, safe and professional environment. Organizer may ask a Vendor or worker to correct conduct that interferes with guests, artists, venue employees, fellow vendors or festival operations, and may remove a person who refuses to cooperate or creates a material safety or legal concern.

13. Cancellation, Postponement and Changes.

Vendor refunds follow the schedule in this handbook. No refund is due when the event proceeds despite weather, attendance or schedule changes. If Organizer cancels and does not reschedule, Vendor may choose a full booth-fee refund or transfer credit. Organizer is not responsible for Vendor’s separate travel, labor, lodging, inventory or other costs.

14. Publicity Permission.

Vendor grants Organizer a nonexclusive, royalty-free right to use Vendor’s approved name, logo, booth images and public business description to promote the festival and vendor directory. Vendor represents that it owns or has permission to provide those materials. Vendor may revoke future use in writing, but already-published materials need not be recalled.

15. Business Results.

Organizer will promote the festival and support the vendor marketplace but cannot promise a particular level of attendance, customer traffic, sales, revenue, media coverage, placement, weather, utilities or internet access. Vendor makes its own staffing, inventory and travel decisions.

16. Governing Terms.

Missouri law governs this agreement. Any dispute shall be brought in a court with jurisdiction where the affected event occurred, unless the parties agree otherwise in writing. If any provision is unenforceable, the remainder survives. This application, handbook, acceptance, invoice and city addendum form the entire agreement and may be changed only in writing by Organizer.

17. Electronic Records and Advice.

Electronic signatures and records may be used and are binding to the extent permitted by law. Vendor confirms it has read the agreement, had the opportunity to seek independent legal and insurance advice, and is not relying on oral statements not included in the written agreement.
